Confidentiality Statement

MedAnalyst or any employee or consultant for (MedAnalyst) shall not disclose or use any Client information for direct or indirect benefit or the direct or indirect benefit of any third party, and MedAnalyst shall maintain, both during and after the consulting period, the confidentiality of any and all Confidential Information of the Client including all HIPAA related and released materials to MedAnalyst.  “Confidential Information” means any information (written, oral or stored in any information storage and/or retrieval medium or device) that is confidential to the Client, including, but not limited to, such information relating to management of information, including project and customer proposals, project plans, status reports, work-related objectives and criteria, and the identities, course of dealings or relationships of customers, contractors, sales representatives and suppliers; any information or data provided by or on behalf of independent contractors, customers, prospective customers or others subject to the terms of a confidentiality, non-disclosure or similar agreement or the reasonable expectation that such information or data would be treated as “confidential” or non-public information or data; any information, data or work product created, developed, prepared, compiled or assembled for or on behalf of the Client, any independent contractor, customer, prospective customer, or other person or entity, whether by MedAnalyst or by other Client’s employees, agents or contractors and not disclosed to third parties without an obligation of confidentiality to the Client on the part of such third party; and any other information that Client deems as “confidential” by agreement with MedAnalyst.
